Welcome to Filings.ae. This website is owned and operated by "LEDGERS Fintech Ltd" and maintains the https://filings.ae Website ("Site"). By visiting our website and accessing the information, resources, services, products, and tools we provide, you understand and agree to accept and adhere to these terms and conditions as stated in this policy (hereafter referred to as 'User Agreement'), whether or not you are a registered user, without limitation and qualification.

We maintain the right to modify these Terms and Conditions of Use and may do so by posting notice of such modifications on this page. Any modification is effective immediately upon posting, unless otherwise stated. Your continued use of the Site following the posting of any modification signifies your acceptance of such modification. You should periodically visit this page to review the current Terms and Conditions of Use. If you violate these Terms of Use, we may terminate your use of the Site, bar you from future use of the Site, and/or take appropriate legal action against you.

1. Responsible use and conduct

You agree to access and use the Site only for lawful purposes. You are solely responsible for the knowledge of and adherence to any and all laws, statutes, rules and regulations pertaining to your use of the Site. By accessing the Site, you agree that:

In order to access our Resources, you may be required to provide certain information about yourself (such as identification, email, phone number, contact details, etc.) as part of the registration process, or as part of your ability to use the Resources. You agree that any information you provide will always be accurate, correct, and up to date.
  2. You are responsible for maintaining the confidentiality of any login information associated with any account you use to access our Resources and for restricting access to your account from any devices. Accordingly, you are responsible for all activities that occur under your accounts. The Site shall not be responsible or liable, directly or indirectly, in any way for any loss or damage of any kind incurred as a result of, or in connection with, your failure to comply with this section.
  3. Accessing (or attempting to access) any of our Resources by any means other than through the means we provide, is strictly prohibited. You specifically agree not to access (or attempt to access) any of our Resources through any automated, unethical or unconventional means.
  4. Engaging in any activity that disrupts or interferes with our Resources, including the servers and/or networks to which our Resources are located or connected, is strictly prohibited.
  5. Altering, damaging, or deleting anything posted on our website is strictly prohibited.
  6. Attempting to copy, duplicate, download, publish, modify, reproduce, sell, trade, or resell our resources for any purpose other than for personal use, unless otherwise specifically authorized by the company to do so is strictly prohibited. You also agree not to deep-link to the site for any purpose, unless specifically authorized by the company to do so. The content and software on this Site is the property of the company. The cardholder must retain a copy of transaction records and Merchant policies and rules.
  7. You are solely responsible for any consequences, losses, or damages that we may directly or indirectly incur or suffer due to any unauthorized activities conducted by you, as explained above, and may incur criminal or civil liability.
  8. We may provide various open communication tools on our website, such as blog comments, blog posts, public chat, forums, message boards, newsgroups, product ratings and reviews, various social media services, etc. You understand that we generally do not pre-screen or monitor the content posted by users on these various communication tools, which means that if you choose to use these tools to submit any type of content to our website, then it is your personal responsibility to use these tools in a responsible and ethical manner. By posting information or otherwise using any open communication tools as mentioned, you agree that you will not upload, post, share, or otherwise distribute any content that:
    1. Is illegal, threatening, defamatory, abusive, harassing, degrading, intimidating, fraudulent, deceptive, invasive, racist, or contains any type of suggestive, inappropriate, or explicit language;

We have the right at our sole discretion to remove any content that we feel in our judgment does not comply with this User Agreement, along with any content that we feel is otherwise offensive, harmful, objectionable, inaccurate, or violates any third party copyrights or trademarks. We are not responsible for any delay or failure in removing such content. If you post content that we choose to remove, you hereby consent to such removal, and consent to waive any claim against us.

2. Privacy

Your privacy is very important to us, which is why we've created a separate Privacy Policy in order to explain in detail how we collect, manage, process, secure, and store your private information. 3. Limitation of warranties

By using our website, you understand and agree that all Resources we provide are "as is" and "as available". This means that we do not represent or warrant to you that:

  1. The use of our Resources will meet your needs or requirements.
  2. The use of our Resources will be uninterrupted, timely, secure or free from errors.
  3. The information obtained by using our Resources will be accurate or reliable, and
  4. Any defects in the operation or functionality of any Resources we provide will be repaired or corrected.

Furthermore, you understand and agree that:

  1. Any content downloaded or otherwise obtained through the use of our Resources is done at your own discretion and risk, and that you are solely responsible for any damage to your computer or other devices for any loss of data that may result from the download of such content.
  2. No information or advice, whether expressed, implied, oral or written, obtained by you from Filings.ae or through any Resources we provide shall create any warranty, guarantee, or conditions of any kind, except for those expressly outlined in this User Agreement.

4. Limitation of liability

In conjunction with the Limitation of Warranties as explained above, you expressly understand and agree that any claim against us shall be limited to the amount you paid, if any, for use of products and/or services. Filings.ae will not be liable for any direct, indirect, incidental, consequential or exemplary loss or damages which may be incurred by you as a result of using our Resources, or as a result of any changes, data loss or corruption, cancellation, loss of access, or downtime to the full extent that applicable limitation of liability laws apply.

5. Copyrights / Trademarks

All content and materials available on filings.ae, including but not limited to text, graphics, website name, code, images and logos are the intellectual property of Filings.ae and are protected by applicable copyright and trademark law. Any inappropriate use, including but not limited to the reproduction, distribution, display or transmission of any content on this site is strictly prohibited, unless specifically authorized by Filings.ae.

6. Termination of use

You agree that we may, at our sole discretion, suspend or terminate your access to all or part of our website and Resources with or without notice and for any reason, including, without limitation, breach of this User Agreement. Any suspected illegal, fraudulent or abusive activity may be grounds for terminating your relationship and may be referred to appropriate law enforcement authorities. Upon suspension or termination, your right to use the Resources we provide will immediately cease, and we reserve the right to remove or delete any information that you may have on file with us, including any account or login information.

7. Governing law

This website is controlled by Filings.ae from our offices located in the state of UAE. It can be accessed by most countries around the world. As each country has laws that may differ from those of UAE, by accessing our website, you agree that the statutes and laws of UAE, without regard to the conflict of laws and the United Nations Convention on the International Sales of Goods, will apply to all matters relating to the use of this website and the purchase of any products or services through this site.

Furthermore, any action to enforce this User Agreement shall be brought in the federal or state courts located in UAE. You hereby agree to personal jurisdiction by such courts, and waive any jurisdictional, venue, or inconvenient forum objections to such courts.

8. Guarantee

UNLESS OTHERWISE EXPRESSED, FILINGS.AE EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

10. Fees

All fees quoted are exclusive of taxes and government charges unless stated otherwise. Fees are payable in advance. Government fees, Free Zone registration charges, visa fees and other statutory charges paid to authorities on your behalf are in addition to Filings.ae's professional service fees and are not subject to refund once paid.

11. Third party links

In an attempt to provide increased value to our visitors, Filings.ae may link to sites operated by third parties. However, even if the third party is affiliated with Filings.ae, we have no control over these linked sites, all of which have separate privacy and data collection practices independent of us. These linked sites are only for your convenience and therefore you access them at your own risk. Nonetheless, we seek to protect the integrity of our web site and welcome any feedback about these linked sites (including if a specific link does not work).

12. Indemnification

You agree to indemnify, defend and hold harmless Filings.ae, its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorney's fees) relating to or arising out of your use of or inability to use the Site or services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. Filings.ae reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Filings.ae in asserting any available defenses.

13. Transactions made on the Website

Certain services will be utilized through the website. In such instances, you agree to be personally responsible for all the charges incurred in connection with the purchases made under your account.

  1. You agree to be responsible for the payment of all fees associated with the use of the service and agree to the payment terms set out herein or on the Website.
  2. Information provided to the Site and Merchant related to payment shall be kept confidential between user, Site and Merchant.
  3. You agree that the Site and the third-party Merchant will not be responsible for any failure of the bank or payment provider or for any decline of any transaction.

14. Force Majeure

Filings.ae shall not be held responsible for any delays or failure in performance of any part of the service, from any cause beyond our control. This includes, but is not limited to: acts of God (such as earthquake, storm, flood, fire), government actions, technical failures, shortages of supplies, embargoes, riots, war, terrorism, epidemic or pandemic, and any other event or circumstance beyond the reasonable control of Filings.ae ("Force Majeure Event"). Such a Force Majeure Event shall not constitute a ground for cancellation or refund.

15. Cancellation and Refund

If an engagement is not progressing as per your expectations, you may request a refund within sixty (60) days from the date of payment.

Before processing any refund, Filings.ae reserves the right to make a best effort to complete the service. In case you are not satisfied with the service, a cancellation fee of twenty percent (20%) of the service fee, together with any earned fee, government fee, filing fee, tax, third-party fee, or any other amount already incurred by Filings.ae in connection with the engagement, shall be deducted from the refund amount.

All refunds shall be subject to a minimum cancellation fee of twenty percent (20%). Any fees already paid to government authorities, free zones, licensing authorities, banks, third-party service providers, or any other external entities are non-refundable.

If a client wishes to change from one service to another within sixty (60) days of purchase, the value of the original service, less any earned fee and amounts already paid to government authorities or third parties, may be adjusted against the new service. Where the replacement service is of equal or greater value, the twenty percent (20%) cancellation fee shall not apply.

Refund requests must be submitted by email to uae@eql.global together with relevant transaction details. Approved refunds shall be processed to the original mode of payment and are generally completed within three (3) to five (5) weeks after receipt of all required information.

Delays caused by government authorities, free zones, licensing authorities, immigration authorities, regulatory bodies, or deficiencies in documents provided by the client shall not constitute grounds for cancellation or refund.

Filings.ae shall not be responsible for penalties, taxes, or costs incurred due to inaccurate information supplied by the client, nor for circumstances beyond its reasonable control, including government actions, system delays, or Force Majeure Events.

16. Free Zone Vendor Transfer & NOC Requirement

For certain UAE Free Zone company incorporations, Filings.ae may act as an official channel partner or authorized service provider of the relevant Free Zone authority.

If, at any time after incorporation, including during license renewal, visa processing, amendments, compliance services, accounting services, taxation services, or any other related engagement, the client elects to discontinue services with Filings.ae and appoint another service provider, the relevant Free Zone authority may require a No Objection Certificate ("NOC") or equivalent authorization before such transfer can be completed.

Where an NOC is required, Filings.ae may charge a reasonable administrative fee for processing and issuing the NOC. The applicable fee shall be communicated at the time the request is made.

The client acknowledges that this requirement arises from the operational procedures of the relevant Free Zone authority and not from any restriction on the client's ability to engage another service provider.
